General Council

Key responsibilities:

Ensuring that the policy, administration and management of the Institute are in accordance with its purpose, identity and integrity.

• Providing advice on strategic decisions.

Electing members of the Board of Governors and evaluating their performance

How it works:

Meets:
• Minimum twice per year

Members:
• Are elected individualsFour-year renewable mandate
• Are voting and non-voting:
20-25 voting members
Board of Governors automatically included
as non-voting members
Chair and vice-chair are elected by the
General Council.

Board of Governors

Key responsibilities:

Monitoring management performance of the Institute.

• Work as an independent decision-making body providing strategic direction according to performance of day-to-day management and external influences.

How it works:

Meets:
• Minimum four times per year
Members:
• Are voted for by the General Council
Four-year renewable mandate
• Are voting and non-voting:
Minimum three, maximum twelve voting
members
ITM executive director is automatically
official member
Chair and vice-chair are elected by the Board of Governors.

Management Committee

Key responsibilities:

• To support the Director in the day-to-day management of the Institute according to instructions from the Board of Governors.

How it works:

Meets:
• At least once a month
Members:
• Made up of the director, the general manager and the heads of department.
• For meeting decisions to be valid, the director and at least two heads of department (this can include the General Manager) have to be present.
